About Digited

Digited is a digital education platform that enables anyone to access educational content to learn and create educational content to publish anywhere. The domain name, website, apps and APIs are owned, registered and operated by Digited Labs Private Limited, a private company incorporated under the (Indian) Companies Act, 2013, and having its registered office at T-Hub, IIIT Hyderabad Campus, Gachibowli, Hyderabad, 500032 (hereinafter referred to as “Digited’ or “Digited Platform” or “us” or “we” or “our” or “company”)

The rules that we frame are to keep our student and instructor community safe. These terms apply to all your activities in our applications (digited, digited campus, digited institute) on all the platforms (website, mobile applications, TV applications, APIs and other related services)

If you are an educational institution, coaching institute (herein referred to as “institute”) or an instructor, you must also agree to the Institute Terms. The details regarding the personal data processing of our students, instructors and institutes are provided in the Privacy Policy. By using or visiting platforms related to digited, you signify to agree to (1) Digited’s Terms of use, (2) Digited’s Privacy Policy and any other terms that are updated from time to time. Please use any of the digited’s platforms only if you agree to these terms.

Accounts

In order to access some of the features of the Digited Platform, you may have to create your account with Digited. You agree and confirm that you will never use another User’s account nor provide access to your account to any third party. When creating your account, you confirm that the information so provided is accurate and complete.

Further, you agree that you are solely responsible for the activities that occur on your account, and you shall keep your account password secure and not share the same with anyone. You must notify Digited immediately of any breach of security or unauthorized use of your account. At no point in time will Digited be liable for any losses caused by any unauthorized use of your account, you shall solely be liable for the losses caused to Digited or others due to such unauthorized use if any. You are responsible for what happens with your account and Digited will not intervene in disputes between students or instructors who have shared account login credentials. You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting our Support Team. We may request some information from you to confirm that you are indeed the owner of your account.

Digited takes no responsibility for any User Content that is uploaded on the Digited Platform, and further, the User shall be solely responsible for his or her own actions in utilizing such User Content and availing the Digited Platform provided herein.

Content Enrollment & Access

When you enrol in a course or other content, Digited grants you permission to access and use the Digited Platform as set forth in these Terms and Conditions, provided that:

You agree not to distribute in any medium any part of the Digited Platform or the content without Digited’s prior written authorization.
You agree not to alter or modify any part of the Digited Platform.
You agree not to access the content of any other User through any technology or means other than the video playback pages of the Digited Platform itself.
You agree not to use the Digited Platform for any of the following commercial uses unless you obtain Digited’s prior written approval:

the sale of access to the Digited Platform;
the sale of advertising, sponsorships, or promotions placed on or within the Digited Platform or content; or
the sale of advertising, sponsorships, or promotions on any page or website that provide a similar Digited Platform as that of Digited.

You agree not to collect or harvest any personally identifiable information, including account names, from the Digited Platform, nor to use the communication systems provided by the Digited Platform (e.g., comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any Users of the Digited Platform with respect to User Content.
You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that accesses the Digited Platform in a manner that sends more request messages to Digited’s servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser.

Notwithstanding the foregoing, Digited grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. Digited reserves the right to revoke these exceptions either generally or in specific cases at any time with or without providing any notice in this regard.

You agree to receive installs and updates from time to time from Digited. These updates are designed to improve, enhance and further develop the Digited Platform and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit Digited to deliver these to you) as part of your use of the Digited Platform.
You may post reviews, comments and other content; send other communications; and submit suggestions, ideas, comments, questions or other information as long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringement of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any other form of spam. Further, you give Digited a limited, royalty-free, worldwide, non-exclusive license to use the User Content and communication in developing its Digited Platform and in any of its marketing or promotional activities.
In your use of the Digited Platform, you will at all times comply with all applicable laws and regulations.
Digited reserves the right to discontinue any aspect of the Digited Platform at any time with or without notice at its sole discretion.

Payments, Credits, & Refunds

A. Pricing

The prices and applicable discounts for content on Digited are the sole discretion of Institutes who are the owners of content in true regard. In some instances, the price of the content offered on the Digited website may not be exactly the same as the price offered on our mobile or TV applications, due to mobile platform providers’ pricing systems and their policies around implementing sales and promotions.

If you are a student located in a country where use and sales tax, goods and services tax, or value-added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.

B. Payments

You agree to pay the fees for content that you purchase, and you authorize us to charge your debit or credit card or process other means of payment for those fees. Digited works with payment service providers to offer you the most convenient payment methods and to keep your payment information secure. We may update your payment methods using the information provided by our payment service providers. Check out our Privacy Policy for more details.

When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the content you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any content for which we have not received adequate payment.

C. Refunds and Refund Credits

Please read the subscription terms and conditions carefully before subscribing to any of the subscription plans, as once you have subscribed you cannot change, cancel your subscription plan. Once you subscribe and make the required payment, it shall be final and there cannot be any changes or modifications to the same and neither will there be any refund

D. Gift and Promotional Codes

Digited or our partners may offer gift and promotional codes to students. Certain codes may be redeemed for a gift or promotional credits applied to your Digited account, which then may be used to purchase eligible content on our platform, subject to the terms included with your codes. Other codes may be directly redeemable for specific content.

These codes and credits, as well as any promotional value linked to them, may expire if not used within the period specified in your Digited account. Gift and promotional codes offered by Digited may not be refunded for cash unless otherwise specified in the terms included with your codes or as required by applicable law. Gift and promotional codes offered by a partner are subject to that partner’s refund policies. If you have multiple saved credit amounts, Digited may determine which of your credits to apply to your purchase. Check out our Support Page and any terms included with your codes for more details.

Content Use & Conduct

You can only use Digited for lawful purposes. You’re responsible for all the content that you post on our platform. You should keep the reviews, questions, posts, courses and other content you upload in line with our Trust & Safety Guidelines and the law, and respect the intellectual property rights of others. We can ban your account for repeated or major offences. If you think someone is infringing your copyright on our platform, let us know.

A. Content Use

In addition to the general restrictions mentioned above, the following limitation and conditions shall apply to your use of the Content.

Digited Content utilized on the Digited Platform which shall include but not be limited to trademarks, service marks and logos (“Marks”), processes, images, software, graphics are owned by or licensed to Digited and its partners and subject to copyright and other intellectual property rights under the law.
User Content is provided to you on an AS-IS basis.
You may access Content for your information and personal use solely as intended through the provided functionality on the Digited Platform and as permitted under these Terms and Conditions.
You shall not download any User Content unless you see a “download” or similar link displayed by Digited on the Digited Platform for that User Content.
You shall not copy, reproduce, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any User Content for any other purposes other than as provided herein without the prior written consent of Digited or the respective licensors of the User Content. Digited and its licensors reserve all rights not expressly granted in and to the Digited Platform and the User Content.
You agree not to circumvent, disable or otherwise interfere with security-related features of the Digited Platform or features that prevent or restrict the use or copying of any User Content or enforce limitations on the use of the Digited Platform or the User Content therein.
You understand that when using the Digited Platform, you will be exposed to User Content from a variety of sources and by different Users and that Digited is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Content.
You further understand and acknowledge that you may be exposed to User Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Digited with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless Digited, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Digited Platform.

B. Conduct Rules

As a Digited User, you may submit User Content on the Digited Platform, including videos and user comments. You understand that Digited does not guarantee any confidentiality with respect to any User Content you submit.
You shall be solely responsible for your own User Content and the consequences of submitting and publishing such User Content on the Digited Platform. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content that you submit; and you grant limited license to Digited to all patent, trademark, trade secret, copyright or other proprietary rights in and to such User Content for publication on the Digited Platform pursuant to these Terms and Conditions for the duration the said User Content is available on Digited Platform.
For clarity, you retain your ownership rights in your User Content. However, by submitting User Content to Digited, you hereby grant Digited a limited, worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, display, publish, make available online or electronically transmit, the User Content in connection with the Digited Platform and Digited’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Digited Platform in any media formats and through any media channels. You also hereby grant each User of the Digited Platform a limited, non-exclusive license to access your User Content through the Digited Platform. The above licenses granted by you in the User Content you submit to the Digited Platform terminate within a commercially reasonable time after you request Digited to remove or delete your videos from the Digited Platform provided you pay the mutually agreed amount that Digited incurred in providing the Digited Platform to you. You understand and agree, however, that Digited may retain, but not display, distribute, or perform, server copies of your videos that have been removed or deleted. The above licenses granted by you in User comments and testimonials you submit are perpetual and irrevocable.
You further agree that User Content you submit on the Digited Platform will not contain third party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant Digited all of the license rights granted herein.
Furthermore, you confirm that the User Content uploaded by you is not:
False, inaccurate or misleading;
Infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
Violate any law, statute, ordinance or regulation;
defamatory, unlawfully threatening or unlawfully harassing;
obscene or contain pornography.
Contain any viruses, trojan horses, worms, cancelbots or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
You understand and confirm that you shall not during your use of the Digited Platforms at any time post or publish any content, comments or act in any way which will amount to harassment of any other User, whether a learner or an educator. If at any given point it comes to the notice of Digited that you are engaged in any kind of harassment of other Users, then in such a case you agree that Digited shall have the sole right to suspend/terminate your account with immediate effect and without any notice of such suspension or termination and we also reserve the right in our sole discretion to initiate any legal proceedings against you in such cases.
Digited at its sole discretion may process any audio or audio-visual content uploaded by you to the Digited Platform to confirm if the same is in accordance with the Digited internal quality requirements and is compatible with the Digited Platform.
Digited does not endorse any User Content submitted on the Digited Platform by any User or other licensor, or any opinion, recommendation, or advice expressed therein, and Digited expressly disclaims any and all liability in connection with User Content. Digited does not permit copyright infringing activities and infringement of intellectual property rights on the Digited Platform, and Digited will remove all User Content if properly notified that such Content infringes on another’s intellectual property rights. Digited reserves the right to remove User Content without prior notice if it has reason to believe that the User Content infringes any copyright.

Subscription Terms

A. Subscription & Eligibility

Digited Subscription (the "Subscription Service") is a personalized Subscription that offers, recommends and helps you discover digital educational content created and live-streamed institutes (collectively, "Educational Content") in the category of your interest. You can access the Subscription and Educational Content, through the Digited website or Digited mobile application by subscribing to any category of your choice from the available plans (“Subscription”). The Subscription will allow you access to all the classes within the course that are ongoing during your Subscription Period. If you are under 18 years of age, or the age of majority in your location, you may use the Subscription only with the involvement of a parent or guardian. We personalize content and features as part of the Subscriptions, including showing you recommendations on Educational Content in the subscribed category, features and other related categories that might be of interest to you. We also endeavour to continuously improve the Subscriptions and subscription plans to improve your subscription experience.

B. Compatible devices

In order to access the live-streamed courses/classes or to download the Educational Content in the mobile application, you will need to use a personal computer, portable media player, or other devices that meet the system and compatibility requirements (a "Compatible Device"). The Compatible Devices may change from time to time and, in some cases, whether a device is (or remains) a Compatible Device may depend on software or systems provided or maintained by the device manufacturer or other third parties. Accordingly, devices that are Compatible Devices at one time may cease to be Compatible Devices in the future. Thus, kindly make sure that the device that you use is compatible with our system/software to avail of the Subscription Service.

C. Educational content

The Subscription allows you to access pre-recorded & live-streaming of Educational Content on a subscription basis in the subscripted category for viewing, for a limited period of time during the Subscription Period.

Usage Rules:

Due to the limitations imposed on us by our Educational Content providers i.e. Institutes and instructors, the Educational Content we make available to you on Digited Subscription are subject to restrictions on viewing access and on the length of time, we make them available to you. These restrictions may change over time as we add new features, devices and content to our Subscription Service. The following are restrictions for accessing Educational Content on Digited Subscription:

Pre-recorded & Live – Streaming of Education Content:

You shall get access to attend Pre-recorded & live- streamed classes/courses of the Educational Content in your subscribed category during the Subscription Period through your Web browser/mobile application through compatible Internet-connected devices.

Downloading:

You shall only have option to do in-app download and the downloaded Educational Content can be viewed by you during the Subscription Period in your compatible devices. After downloading the Educational Content, you shall have access to the same for the Subscription Period only and all access to the downloaded content shall be removed on expiry or termination of your Subscription, as the case maybe. The ability to download will entirely be at the discretion of Digited and its partners.

Viewing Period:

You can attend the live-streamed courses/classes of the Educational Content and watch and re-watch them later during your Subscription Period, by in-app downloading or streaming it, as often as you want and as long as you want provided that you have an active subscription and the viewing is within the Subscription Period or for a period of time as provided in this Agreement. The viewing Period can be altered at the discretion of Digited and its partners.

Subscription & Payment

You can subscribe to the category of your choice by clicking the Subscribe option and making the required payment for the subscription plan of your choice.

Limited License to Educational Content

Subject to payment of the Subscription fee, and your compliance with all terms of this Agreement, Digited and the Institute grants you a non-exclusive, non-transferable, non-sublicensable, limited license, during the applicable Subscription Period, to access and view and attend pre-recorded & live-streamed classes/courses of the Educational Content in accordance with the terms of this Agreement, for personal, non-commercial, private use only. We may automatically remove you access to the Educational Content from your Compatible Device after the end of the Subscription Period or in accordance with any restriction mentioned in this Agreement.

Availability of Subscribed Educational Content

Educational Content will generally continue to be available to you for in app download or streaming or attending live-streamed classes/courses during the Subscription Period, as applicable, but may become unavailable due to particular Institute licensing restrictions or for other reasons, and Digited will not be liable to you if the Educational Content in the subscribed category becomes unavailable for further in app download or streaming. You may download and store your own copy of Educational Content on a Compatible Device authorized for such in app download so that you can view that Educational Content but the access to such in-app downloaded Educational Content shall be removed on expiry of the Subscription Period or in case of Institute licensing restriction or termination of the Subscription in accordance with the terms of this Agreement.

In-App Downloading

You are granted a license only for in-app download of the Educational Content in the mobile application or on such Compatible Device so permitted. Screen-casting or downloading on any other device or in any manner not permitted herein shall amount to immediate termination of Subscription along with termination of access to all downloaded Educational Content with a right to initiate appropriate legal action, at the sole discretion of Digited.

Quality of Streaming

The resolution and quality of the Educational Content you receive will depend on a number of factors, including the type of Compatible Device on which you are accessing the Educational Content and your bandwidth, which may increase or decrease over the course of your viewing. While we strive to provide you a high-quality viewing experience, we make no guarantee as to the resolution or quality of the Educational Content you will receive when streaming.

General Restrictions

You may not

transfer, copy or display the Educational Content, except as permitted in this Agreement;
sell, rent, lease, distribute, or broadcast any right to the Educational Content;
remove any proprietary notices or labels on the Educational Content;
attempt to disable, bypass, modify, defeat, or otherwise circumvent any digital rights management or other content protection system used as part of the Subscription; or
use the Subscription or Educational Content for any commercial or illegal purpose.

Termination of Account

Digited will terminate Users the access to the Digited Platform, if
the User is a repeat copyright infringer;
the Users breaches any terms of these Terms and Conditions.
Violation of any applicable laws;
your use of the Digited Platform disrupts our business operations or affects any other party/ User; or
you have behaved in a way, which objectively could be regarded as inappropriate or unlawful or illegal or which would bring any claims against Digited.
Digited reserves the right to decide whether User Content violates these Terms and Conditions for reasons other than copyright infringement, such as, but not limited to, pornography, obscenity, or excessive length or any other parameter that Digited deems fit from time to time. Digited may at any time, without prior notice and in its sole discretion, remove such User Content and/or terminate a User's account for submitting such material in violation of these Terms and Conditions.
We may suspend access to the Digited Platforms or require You to change Your password if we reasonably believe that the Digited Platforms have been or are likely to be misused, and we will notify You accordingly. Any termination of Your registration and/or Account or the Digited Platforms will not affect liability previously incurred by You.

Deletion of Account?

All you need to do is send an email to support@digitedlabs.com asking them to delete your Digited account and the associated data with it. Once you receive a reply from them, you’ll have seven days to reply to their email with a valid ID proof and confirmation to delete the account. If you don’t send the confirmation, your account won’t be deleted, and the request will be abandoned.

Using Digited at your own risk

Our platform model means we do not review or edit the content for legal issues, and we are not in a position to determine the legality of content. We do not exercise any editorial control over the content that is available on the platform and, as such, do not guarantee in any manner the reliability, validity, accuracy, or truthfulness of the content. If you access content, you rely on any information provided by an institute/instructor at your own risk.

By using the Services, you may be exposed to content that you consider offensive, indecent, or objectionable. Digited has no responsibility to keep such content from you and no liability for your access or enrollment in any course or other content, to the extent permissible under applicable law. This also applies to any content relating to health, wellness, and physical exercise. You acknowledge the inherent risks and dangers in the strenuous nature of these types of content, and by accessing such content you choose to assume those risks voluntarily, including the risk of illness, bodily injury, disability, or death. You assume full responsibility for the choices you make before, during, and after your access to the content.

When you interact directly with a student or an instructor or any other institute personnel, you must be careful about the types of personal information that you share. While we restrict the types of information instructors may request from students, we do not control what students and instructors do with the information they obtain from other users on the platform. You should not share your email or other personal information about you for your safety.

We do not hire or employ instructors and institutes nor are we responsible or liable for any interactions involved between institutes, instructors and students. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of institutes, instructors or students.

When you use our Services, you will find links to other websites that we don’t own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms and conditions and privacy policies.

IPR & Copyright Infringement

The Digited Platform, the processes, and their selection and arrangement, including but not limited to all text, graphics, User interfaces, visual interfaces, sounds and music (if any), artwork and computer code on the Digited Platform is owned and controlled by Digited and the design, structure, selection, coordination, expression, look and feel and arrangement of such content mentioned hereinabove is protected by copyright, patent and trademark laws, and various other national and international IPR laws and regulations. For clarity, content in the above sentence shall not include User Content.

Unless otherwise indicated or anything contained to the contrary, or any proprietary material owned by a third-party and so expressly mentioned, Digited owns all IPR to and into the trademark “Digited” and the Digited Platform.

The mark “Digited” is the sole property of Digited. Reproduction in whole or in part of the same is strictly prohibited unless used with express written permission from Digited.

Digited operates a clear copyright policy in relation to any User Content alleged to infringe the copyright of a third party.
As part of Digited's copyright policy, Digited will terminate User access to the Digited Platform if a User has been determined to be a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than twice.
If you believe that your work has been copied in a way that constitutes copyright infringement, please refer to the instructions given in the copyright policy on how to make a claim of copyright infringement.

Notice of Copyright Infringement

Pursuant to provisions of the Indian Copyright Act, 1952 read with the Information Technology Act of 2000, we an intermediary, allowing the general public to post content on our platform. We have implemented procedures for receiving written notification of claimed infringements on the User Content uploaded on Digited Platform. We have also designated an agent to receive notices of claimed copyright infringement. If you believe in good faith that your copyright has been infringed, you may provide us with a written communication that contains:

An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
A description of the copyrighted work that you claim has been infringed upon;
A description of where the material that you claim is infringing is located on the Digited Platform, including the educator name, topic and any other detail identifying the infringing content;
Your email address, your physical address and telephone number;
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Our policy to deal with Copyright infringements:

We follow a 3-strike policy- Three instances brought to our notice that is provided with all required supporting information will lead to the institute getting banned from the Digited Platform. Its right to any and all compensation or monetary benefit that he/she might be eligible for shall be revoked. The detailed process is as under:

The first case of violation- The infringing User Content is taken down and the institute is given a warning and is suspended for a week from making any new courses.
The second case of violation- The institute is suspended from making any more videos on the Digited Platform for a month and all User Content that amounts to copyright violations are brought down immediately.
Third violation- The institute is banned from the Digited Platform and will be unable to make any more courses in the future.

IT Act, and other governing Laws

These Terms and Conditions are published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and terms and conditions for access or usage of the Digited Platform.

You are advised not to post any information or messages that are, or that may be construed, as being malicious, defamatory, inappropriate, slanderous, pornographic or otherwise sexually-oriented or that makes attacks on or the otherwise opines or comments on any individuals or groups of individuals, educational institutions or any other entities whatsoever (whether companies, firms, or any other institutions).
You also agree not to post any information to which you do not have copyrights or other appropriate permissions to post in a public forum.

Your failure to comply with these terms may result in the removal of your postings without prior notice to the User. The IP address of all posts is recorded to aid in enforcing these conditions.

Jurisdiction

The Terms and Conditions are governed by and constructed in accordance with the laws of India, without reference to conflict of laws principles and you irrevocably and unconditionally submit to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

Disclaimer

YOU AGREE THAT YOUR USE OF THE DIGITED PLATFORM SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, DIGITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS AND AGENTS EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE DIGITED PLATFORM AND YOUR USE THEREOF.
